Terms of Service

Agreement Overview

These Terms of Service ("Terms") govern your use of web development services provided by Alex Baldry ("Developer", "we", "our", or "us"). By engaging our services, you agree to these terms in their entirety. If you do not agree with any part of these Terms, you should refrain from using our services.

We reserve the right to update or modify these Terms at any time without prior notice. Continued use of our services after changes to these Terms constitutes acceptance of those changes.

Service Agreement

The Developer agrees to provide web development services according to the project specifications agreed upon in writing. Both parties will work collaboratively to ensure project success. Any additional features or modifications not included in the original agreement may incur additional charges, which will be discussed and approved in writing before work commences.

Clients are responsible for providing accurate and timely feedback, as well as any required content or materials necessary to complete the project. Failure to do so may result in project delays or additional fees.

Site Modifications

Important: If the website is substantially modified from its original developed state by the client or third parties, the Developer reserves the right to:

  • Charge additional fees for any requested modifications or maintenance
  • Decline to perform further work on the modified website
  • Require a complete site audit before accepting any new work

Such modifications may include, but are not limited to, changes to design, structure, or functionality that impact the original development framework.

Payment Terms

A 50% deposit is required before work begins. The remaining balance is due upon project completion and before the website goes live. All payments are non-refundable. Payment methods and specific timelines will be detailed in the project agreement.

Late payments may incur interest at a rate of 5% per month, and any outstanding invoices exceeding 30 days may result in suspension of services.

Project Timeline

Project timelines will be established in the initial agreement. These timelines are contingent upon prompt client feedback and timely delivery of required content or materials. Delays caused by late client feedback or content delivery may affect the final delivery date and could result in additional fees.

We will make every effort to meet agreed-upon deadlines; however, we are not responsible for delays caused by unforeseen circumstances, including but not limited to technical issues, third-party delays, or force majeure events.

Intellectual Property

Upon receipt of the final payment, the client receives rights to all unique design elements and custom code created specifically for their project. The Developer retains the right to display the work in their portfolio and promotional materials unless otherwise agreed upon in writing.

Pre-existing assets, such as templates, libraries, or third-party code, may remain subject to their original licenses and are not transferable to the client.

Hosting and Maintenance

Hosting and ongoing maintenance are not included in the development cost unless specifically agreed upon in writing. Clients are responsible for arranging hosting services and ensuring their hosting provider meets the necessary technical requirements for the developed site.

Regular maintenance and updates can be arranged under a separate agreement. Failure to properly maintain the website may lead to performance issues or security vulnerabilities, for which the Developer is not responsible.

Limited Liability

The Developer is not liable for any damages, including but not limited to loss of data, profits, or business opportunities, arising from the use or inability to use the website or any connected services. This limitation applies to any claim, whether based on warranty, contract, tort, or any other legal theory.

The Developer also does not guarantee uninterrupted or error-free operation of the website, as this depends on external factors such as hosting services and third-party tools.

Confidentiality

Both parties agree to keep any proprietary or sensitive information disclosed during the course of the project confidential. This obligation extends beyond the duration of the project unless otherwise agreed in writing.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in [Your Jurisdiction].
